Terms & Conditions for Using Rezz Gift

These Store Partner Terms and Conditions govern your access to and use of the services, applications, and platform provided by Rezz. By accessing, downloading, installing, enabling, or using Rezz, you acknowledge that you have read, understood, and agree to be bound by these Terms. This includes the relationship between Rezz and the merchant, brand or retailer integrating Rezz into its online store (“Store”) as well as an end user using the Rezz Wallet and Rezzgift.com website. If you do not agree with any provision of these Terms, you must immediately cease all use of our Service.

1. Nature of the Relationship

1.1 Relationship Between Rezz and the Store

Rezz provides a technology service that enables digital gifting functionality within the Store’s existing e-commerce environment.
Rezz acts solely as a technical intermediary.
Rezz does not:
• sell products,
• act as a reseller or distributor,
• act as an agent, representative, or commercial intermediary of the Store,
• issue or fund store credit or gift cards,
• become a party to the sales contract between Buyer and Store.
All product sales made using Rezz are concluded directly and exclusively between the Buyer and the Store. The Store remains the seller of record at all times.

1.2 Relationship Between Rezz and End Users (Gift Buyers and Receivers)

Rezz provides a digital gifting interface that allows:
• a buyer (“Buyer”) to send a gift through a Store that integrates Rezz; and
• a gift recipient (“Receiver”) to access, accept, request delivery of, or convert a gift into store-issued credit.
Rezz does not:
• own or control the products offered by the Store;
• process or hold Buyer payment funds;
• determine product pricing or availability;
• control the Store’s fulfillment, shipping, refund, or return policies;
• issue or assume liability for store-issued gift cards or store credit.
Any purchase made by a Buyer is a direct transaction between the Buyer and the Store. Any store credit generated through the gifting process is issued by the Store and represents a direct financial obligation of the Store to the Receiver.
Rezz is not a party to the underlying product sale or to the Store’s gift card agreement.

1.3 Rezz Wallet Functionality

Where available, the Rezz Wallet is a digital interface that allows Receivers to view, manage, and access store-issued gift cards generated by participating Stores. Rezz is not a bank, money transmitter, payment institution, or electronic money issuer. Rezz does not hold funds, process payments, or provide financial services.
The Rezz Wallet:
• does not store monetary funds;
• does not constitute a bank account, prepaid account, or electronic money account;
• does not represent stored value issued by Rezz;
• does not create a financial institution relationship between Rezz and the Receiver.
Rezz may:
• Block suspicious transactions
• Suspend wallet access
• Prevent gift conversions
• Cooperate with authorities
All stored value displayed within the Rezz Wallet remains the sole obligation of the issuing Store.
Rezz does not guarantee the solvency, performance, or creditworthiness of any Store.

2. Store Responsibilities

The Store is solely and fully responsible for:
• product quality, safety, and legality,
• product descriptions, pricing, and availability,
• inventory management,
• order fulfillment and delivery,
• customer service, returns, refunds, and exchanges,
• compliance with all applicable consumer protection, tax, and regulatory laws,
• honoring all gift cards generated through the Store’s own systems following a Rezz-triggered conversion.
Rezz assumes no responsibility for the Store’s performance or compliance.

3. Gifting Flow & Credit Conversion Mechanism

3.1 Gifting Flow

Rezz enables Buyers to purchase gifts digitally and allows Receivers to later choose between:
• requesting delivery of the product (where available), or
• converting the gift into store credit.

3.2 Store Credit Conversion

When a Receiver selects the option to “convert to credit”:• Rezz transmits a conversion request to the Store’s own gift card or store credit system,• the Store’s system generates a store-issued gift card,• Rezz retrieves the generated gift card code and transmits it to the Receiver.At all times:• the Store remains the sole issuer of the gift card, and remains solely liable for all store credit obligations.• the gift card represents a direct financial obligation of the Store to the Receiver,• Rezz does not issue, fund, guarantee, insure, or underwrite the gift card.

3.3 Delivery Request & Fulfillment

When a Receiver selects the option to request delivery:• the Receiver is prompted to provide a valid delivery address,• Rezz transmits the delivery request and Receiver-provided address details to the Store,• the Store becomes solely responsible for:- order fulfillment,- shipping,- delivery timelines,- carrier selection,- customs duties, taxes, and import compliance (where applicable).The Store acknowledges and agrees that:• Rezz does not handle, store, or verify physical products,• Rezz does not perform delivery services,• Rezz does not guarantee delivery success, timing, or condition of the product,• any delivery failure, delay, loss, or damage is the sole responsibility of the Store.Once a Receiver submits a delivery request, the Store assumes full responsibility for execution in accordance with its own shipping and return policies.

4. Gift Card Delivery & Access Rights

Gift card codes generated following a Rezz-triggered conversion are:
• delivered exclusively to the Receiver,
• not accessible to the Buyer,
• not reclaimable, cancelable, or reversible by the Buyer.
The Store acknowledges and agrees that:
• Buyers permanently waive any rights to the gift card once conversion occurs,
• gift card ownership and access are intentionally separated from the Buyer as a core feature of Rezz.

5. Gift Card Handling & Technical Control

Rezz is authorized to:
• securely transmit gift card codes to Receivers,
• temporarily store gift card codes in encrypted form for delivery purposes,
• retransmit gift card codes in the event of technical failure,
• regenerate or re-request gift card codes only where technically supported by the Store and necessary to resolve errors or prevent fraud.
Rezz shall not:
• alter the monetary value of a gift card,
• change expiration dates,
• override Store redemption rules,
• interfere with Store gift card policies.

6. Store Credit Liability & Insolvency

The Store acknowledges that:
• all store credit obligations rest solely with the Store,
• Rezz bears no liability for refusal, inability, or failure to honor gift cards,
• Rezz bears no liability in the event of Store insolvency, suspension, or cessation of operations.
• The store is solely responsible for honoring gift cards
• Rezz does not fund, insure, or guarantee store credit
All outstanding gift card obligations survive termination of the Store’s relationship with Rezz.

7. Refunds, Returns & Disputes

All refund, return, exchange, and dispute requests relating to Store products or gift cards are governed exclusively by the Store’s policies.
Under no circumstances shall Rezz be required to:
• issue refunds,
• replace products,
• issue store credit,
• compensate Buyers or Receivers for Store-related issues.
The Store agrees that Rezz may redirect customers to the Store without liability.

8. Cross-Border Deliveries

If the Store enables cross-border gifting:
• the Store confirms it can legally ship to the selected regions,
• the Store is responsible for customs duties, taxes, and import compliance,
• Rezz bears no responsibility for international delivery issues.

9. Data Access & Processing Authorization

By installing Rezz, the Store expressly authorizes Rezz to:• access Buyer and Receiver information necessary to operate the service, including:- names,- email addresses,- delivery details (where applicable),- order and conversion status data;• transmit Receiver delivery details to the Store for fulfillment;• transmit store-issued gift cards to Receivers.The Store remains the data controller.Rezz acts as a data processor and shall process personal data solely in accordance with applicable data protection laws and Rezz’s Privacy Policy.

10. Indemnification

The Store agrees to indemnify, defend, and hold harmless Rezz from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from or related to:
• Store products or services,
• failure to fulfill orders,
• refusal or inability to honor store-issued gift cards,
• consumer protection or regulatory violations,
• disputes between Buyers and Receivers

11. Fees & Commercial Terms

Rezz may charge:
• platform fees,
• transaction-based commissions,
• optional premium service fees.
Unless expressly agreed otherwise in writing, all fees are non-refundable.

12. Suspension & Termination

Rezz may suspend or terminate the Store’s access to Rezz if the Store:
• breaches these Store Terms,
• engages in fraudulent or deceptive practices,
• exposes Rezz to legal, regulatory, or reputational risk.
Termination does not relieve the Store of outstanding obligations to customers.

13. Intellectual Property

The Store grants Rezz a limited, non-exclusive, revocable license to:
• display the Store’s name and logo,
• reference the Store as a Rezz partner,
• enable gifting functionality.
No ownership rights are transferred.
All Website content is owned by or licensed to Rezz and is protected by intellectual property laws, including:
• Text
• Graphics
• Logos
• Branding
• Software
• User interface design
• Technology architecture
You may not reproduce, distribute, modify, or create derivative works without prior written consent.

14. Limitation of Liability

To the maximum extent permitted by law:
• Rezz shall not be liable for indirect, incidental, or consequential damages,
• Rezz’s total liability shall not exceed the total fees paid by the Store to Rezz in the preceding twelve (12) months.

15. Rezz Commitments

Rezz commits to:
• trigger store credit generation only upon Receiver action,
• transmit store-generated gift cards without modification,
• implement reasonable technical and organizational security measures,
• process personal data solely for the purposes described in these Store Terms,
• notify the Store of material platform changes affecting functionality.
Rezz does not guarantee sales volume, conversion rates, customer behavior, or Store performance outcomes.

16. Acceptance

By installing or enabling Rezz, the Store confirms its acceptance of these Store Terms.

17. Merchant Transactions

If you purchase a product from a merchant that uses Rezz:
• The merchant is the seller of record
• Rezz is not a party to the transaction
• Rezz does not process payments
• Rezz does not ship products
• Rezz does not issue refunds
Any disputes regarding products, delivery, refunds, or store credit must be resolved directly with the merchant.

18. Wallet access

If and end user creates a wallet or account on the Website:
The user is responsible for:
• Maintaining the confidentiality of login credentials
• All activity conducted his/her your account
Rezz reserves the right to suspend accounts for misuse or suspicious activity.

19. Privacy & Cookies

The use of the Website is governed by our Privacy Policy.
Rezz may use cookies and similar tracking technologies to:
• Improve Website functionality
• Analyze traffic
• Enhance user experience

20. Third-Party Links

The Website may contain links to third-party websites or merchant stores.
Rezz is not responsible for:
• Content on third-party websites
• Merchant policies
• Merchant performance
• External services
Accessing third-party sites is at your own risk.

21. Modifications to These Terms

Rezz may update these Terms at any time.
Updated Terms will be posted on this page with a revised “Last Updated” date.
Continued use of the Website constitutes acceptance of the revised Terms.

22. Service Availability Disclaimer

Rezz relies on Shopify APIs, hosting providers, payment gateways, and other third-party services. Rezz is not responsible for downtime, API changes, rate limits, platform outages, or third-party service disruptions.

23. Eligibility and account requirements

To use the Service, you must meet all of the following requirements:
• Be a legally registered business entity or an individual aged at least 18 years old with full legal capacity to enter into binding contracts to use the Wallet or Services
